DubBot Terms of Service
1. Service Description
Accessibility
DubBot Accessibility is a service that checks your website against WCAG 2.1 and 2.2 standards (A and AA) to ensure compliance and improved digital accessibility.
Quality Assurance (QA)
DubBot Quality Assurance is a hosted service that crawls your website every seven (7) days, providing an up-to-date overview of quality issues. This allows web teams to proactively address broken links, misspellings, and consistency issues.
Search Engine Optimization (SEO)
DubBot SEO helps increase search engine traffic to your website by identifying technical and content-related issues such as missing page titles, header issues, meta tag problems, and link text inconsistencies.
Training
DubBot offers optional training services in a predetermined format. Training sessions may be recorded, edited, and redistributed by the Customer as needed.
Access to the Services
The above services can be accessed via http://app.dubbot.com using individual user logins. Customers may create, edit, and delete users via the online interface.
“Green” Invoices
To reduce waste, all invoices from DubBot, LLC are sent via email. The Customer will provide the necessary contact information for invoice delivery.
2. Terms of Subscription
Payment Terms
Subscription fees are invoiced annually, with payment due in full within thirty (30) days of the invoice date. Renewal invoices will be sent 30 days before the contract renewal date.
Agreement Period and Renewal
- This agreement runs for twelve (12) months and automatically renews for subsequent 12-month terms, unless canceled by either party.
- The Customer has no right to retain or use the services beyond the agreement’s expiration.
Scope of Subscription Agreement
The Customer may not:
- Rent, lease, assign, transfer, sublicense, display, or otherwise distribute DubBot services to third parties.
- Modify, incorporate, or combine DubBot’s services with other software or create derivative works.
- Use DubBot services to process sensitive or personal information or for any illegal purpose.
- Reverse engineer, decompile, or attempt to modify DubBot’s services, except as expressly permitted by law.
- Use DubBot as a service bureau to provide services on behalf of third parties.
DubBot reserves all rights not expressly granted under this agreement.
Cancellation
Either party may cancel this agreement with sixty (60) days’ written notice before the renewal date.
3. Service Level Agreement (SLA) & System Updates
Uptime & Maintenance
- DubBot strives for 99.9% uptime, excluding scheduled maintenance.
- Scheduled maintenance will be communicated in advance.
Updates & New Features
- DubBot provides free updates and new releases for included services.
- Newly launched services or features may be offered separately and are not covered under this agreement.
4. Acceptable Use Policy (AUP)
The Customer agrees to use DubBot’s services lawfully and ethically, and must not:
- Attempt unauthorized access to DubBot systems or services.
- Use DubBot to scan websites they do not own or have permission to audit.
- Engage in activities that disrupt or overload DubBot’s infrastructure.
Violations may result in suspension or termination of services.
5. Data Privacy & Security
Customer Data & Ownership
- The Customer retains full ownership of any content analyzed by DubBot.
- DubBot does not claim any rights over Customer data.
Security Measures
- DubBot follows industry-standard security protocols to safeguard customer data.
- Customer data is not shared with third parties except as required to provide the service.
6. Intellectual Property
- All rights, title, and interest in DubBot’s services, software, and documentation remain with DubBot, LLC.
- Customers may not use DubBot’s branding, logos, or proprietary materials without written permission.
7. Indemnification
- The Customer agrees to indemnify and hold DubBot harmless against claims, damages, and legal fees arising from:
- Misuse of the service.
- Violations of this agreement.
- Unauthorized use of DubBot’s intellectual property.
8. Governing Law
This agreement is governed by and construed in accordance with the laws of the State of Georgia and applicable United States federal law.
9. Force Majeure
Neither party is liable for delays or failures in performance due to uncontrollable events, including but not limited to:
- Natural disasters.
- Government restrictions.
- Cyberattacks or internet failures.
- Acts of war or terrorism.
10. Limitation of Liability
- Neither party shall be liable for indirect, incidental, or consequential damages, including loss of profits, business interruption, or data loss.
- DubBot’s total liability under this agreement shall be limited to the total fees paid by the Customer in the preceding 12 months.
- DubBot is not liable for improper use of the services by the Customer.
11. Consumer Price Index (CPI) Adjustments
- Subscription fees may be adjusted annually based on the Consumer Price Index (CPI).
- Any changes will be reflected in the renewal invoice and communicated in advance.
12. Amendments
- This agreement may only be amended in writing with mutual agreement between both parties.
